Acceptance of these terms
These Terms of Service (the "Terms") form a binding agreement between you and FlashEvents ("FlashEvents," "we," "us," or "our") and govern your access to and use of the FlashEvents websites, mobile experiences, APIs, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
Section 02
Who we are and what we do
FlashEvents is an event discovery platform that aggregates and curates information about live music, comedy, arts, food, nightlife, and other local experiences. We help you find things to do — we do not operate, host, ticket, or guarantee any third-party events, venues, or experiences listed on the Service.
Section 03
Eligibility
You must be at least 13 years old to use the Service, and at least the age of majority in your jurisdiction to enter into a binding contract. By using the Service you represent that you meet these requirements.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Section 04
Your license to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.
All right, title, and interest in the Service — including the FlashEvents name, logo, design, software, content, and underlying technology — remain with us or our licensors and are protected by intellectual property laws.
Section 05
Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Violate any applicable law, regulation, or third-party right.
- Scrape, crawl, or otherwise extract data from the Service through automated means without our prior written permission.
- Use bots, scripts, or other automated tools to access the Service in ways that interfere with normal operation.
- Reverse engineer, decompile, or attempt to derive the source code of the Service except where expressly permitted by law.
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure.
- Upload or transmit malicious code, viruses, or any content intended to disrupt or damage the Service or other users.
- Impersonate any person or entity, or misrepresent your affiliation.
- Harass, threaten, or abuse other users, performers, venues, or organizers.
- Use the Service to send unsolicited messages, advertising, or spam.
- Use the Service in any manner that could overload or impair its availability for others.
We may investigate violations and take any action we deem appropriate, including suspending or terminating access.
Section 06
User submissions and feedback
If you submit content to us through contact forms, feedback channels, event suggestions, or other inputs ("Submissions"), you represent that you have all rights necessary to do so and that the Submissions do not infringe anyone’s rights or violate any law.
You grant FlashEvents a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, publish, and display Submissions in connection with operating, improving, and promoting the Service. We are not obligated to use, return, or compensate you for any Submission.

Third-party events, venues, and links
Information about events, performers, venues, ticket providers, and other third parties is aggregated from public sources and partners. Event details, schedules, line-ups, ticket availability, prices, and policies can change at any time and may be inaccurate.
We do not endorse, sponsor, or guarantee any third-party event, venue, or service, and we are not responsible for the conduct, safety, accuracy, or quality of any third-party experience. Always confirm key details (date, time, venue, age requirements, ticketing) directly with the organizer or venue before relying on them.
The Service may contain links to third-party websites and services. We do not control those sites and are not responsible for their content, policies, or practices.

Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT ANY EVENT INFORMATION IS CURRENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHEVENTS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Section 10
Indemnification
You agree to defend, indemnify, and hold harmless FlashEvents and its affiliates, officers, employees, agents, and licensors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Service, (b) your Submissions, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
Section 11
Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms or applicable law.
You may stop using the Service at any time. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
Section 12
Changes to the Service or these Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. If we make material changes, we will update the "Effective" date above and, where appropriate, provide additional notice.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the updated Terms.
Section 13
Governing law and dispute resolution
These Terms are governed by the laws of the State of New York, U.S.A., without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, you agree to first contact us at contact@flashintelligence.ai and attempt to resolve the dispute informally for at least sixty (60) days. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction and venue there.
Section 14
Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and FlashEvents regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely. Headings are for convenience only.
